1. Your agreement with Aimora
“Aimora,” “we,” and “us” mean the service provider identified by its full legal name and contact details in your written service order. “You” means the business customer identified in that order. The person accepting must be at least 18 years old and authorized to bind that business.
Your signed or expressly accepted proposal, order, or statement of work (the “Service Order”) describes your scope, price, term, and any additional conditions. These terms become part of your agreement only when expressly incorporated and accepted. A conflicting provision in a mutually accepted Service Order controls over these terms; an applicable data processing agreement controls on data protection matters. Mandatory legal rights always apply.
2. What the service does
Aimora provides configured AI software and managed support for tasks such as answering customer questions, qualifying leads, preparing preliminary estimates, organizing records, and summarizing approved connected information. Calling Aimora an “AI employee” describes its intended role; it does not create employment, an agency relationship, or authority to make commitments for your business.
Only capabilities expressly included in your Service Order are included. Integrations depend on compatibility, permissions, and third-party availability. External system access is read-only unless a separate integration expressly authorizes changes. Appointment requests require human confirmation unless your agreed implementation includes a functioning calendar connection and booking authority. Website examples, prices in sample conversations, and appointment dates are illustrative.
3. AI outputs and human review
AI may produce inaccurate, incomplete, outdated, or inconsistent information, even when connected to your records. Aimora does not guarantee error-free responses, a particular number of leads, revenue, savings, or business results. Reports depend on the information available to the service and are not an audit or independent verification.
You must establish appropriate review and escalation rules and check material outputs before relying on them. Preliminary estimates are starting points, not binding quotes. Your team is responsible for final scope, pricing, taxes, contractual commitments, appointment confirmation, and communications sent on your behalf. Configure automated communications only within the authority you intend to give.
The service is not a substitute for professional legal, medical, financial, or safety advice, and must not be used for emergency response or as the sole basis for decisions that significantly affect a person’s rights or safety.
4. Your responsibilities
You are responsible for accurate business information, approved pricing rules, lawful instructions, authorized users, secure credentials, and required notices and consents. Review the configuration and test relevant scenarios before approving activation. Tell us promptly about incorrect outputs, compromised access, or changes to your services or connected systems.
You must have permission to share all supplied records and to contact the people whose information you provide. Your use of customer messaging, recordings, marketing, and AI disclosures must comply with applicable law and relevant platform rules. Keep your own copies of important business records.
5. Fees, setup, and billing
Your Service Order establishes the actual fees, billing start date, payment due dates, included usage, taxes, and approved third-party costs. Published prices are in USD: Standard managed service is $29.99 per month with no setup fee; custom integration service is $200 per month with a $500 one-time setup fee. Additional charges for work outside the agreed scope require your agreement.
Setup covers the agreed configuration and onboarding work. Changes in scope or external systems may require a separately approved quote. A website price change does not change the price of an existing agreed term.
Automatic renewal or recurring payment authorization applies only if separately disclosed and expressly agreed to before billing. The Service Order must state the renewal interval and how to stop renewal. We will give at least 30 days’ notice of a proposed renewal price increase, or any longer period required by law, so you can decline renewal. Contact us promptly about a billing error; this does not limit any statutory dispute rights.
6. Cancellation and refunds
You may request cancellation or stop renewal by emailing Admin@aimora.ai or calling 812-351-3221. Include your business name and the service to cancel. We will confirm receipt and the effective end date. A timely cancellation is effective based on receipt of your request, not the timing of our acknowledgment.
For a monthly service without a separately agreed minimum term, a cancellation received before the next renewal ends service at the close of the current paid billing period and stops the next renewal. Any fixed term, early termination charge, setup cancellation charge, or special refund condition must be disclosed and agreed in the Service Order before purchase; these terms do not create such charges.
Refund eligibility for completed setup work and a billing period already underway is governed by your Service Order and applicable law. These terms do not establish a blanket “no refunds” policy. If we discontinue prepaid service for reasons other than your material breach, we will refund the unused prepaid service portion. This does not limit remedies for defective or undelivered services that cannot lawfully be excluded.
7. Customer data and connected systems
You retain your rights in the records, instructions, and other materials you supply (“Customer Data”). You authorize processing of that data only as necessary to deliver, maintain, secure, and support your agreed service, subject to your documented instructions and any applicable data processing agreement. This permission is not an unrestricted transfer of ownership or a general license to sell Customer Data.
Before connecting personal or confidential records, the parties must document the approved data categories, access permissions, relevant service providers, retention and deletion arrangements, and any required data processing terms. These terms are not a privacy notice and do not replace required privacy disclosures or data processing agreements. Do not assume that a particular storage location, retention period, model-training restriction, or regulatory certification applies unless expressly confirmed in writing.
Do not submit payment card security codes, passwords in ordinary chat, protected health information, or similarly sensitive regulated information unless a separately agreed setup expressly supports that data and the necessary safeguards and agreements are in place. Use the approved secure method for connection credentials. You may revoke external access, but doing so may disable dependent features.
Third-party CRM, hosting, communications, and AI services may be necessary for delivery and may have separate terms, fees, and limitations. We do not control their availability or changes. Neither this dependency nor a third party’s terms removes obligations that Aimora has expressly accepted or that applicable law imposes.
8. Confidentiality
Each party will use the other’s nonpublic business information only to perform the agreement, protect it with reasonable care, and disclose it only to people and service providers who need it for that purpose and are subject to appropriate confidentiality obligations. These duties do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.
A legally required disclosure is permitted, with advance notice where lawful and reasonable efforts to limit disclosure. This section does not reduce either party’s data protection duties.
9. Acceptable use
Do not use Aimora for illegal activity, fraud, impersonation, harassment, discriminatory conduct, spam, infringement, or unauthorized surveillance or access. Do not upload malicious software, bypass access controls, interfere with the service, or attempt to obtain another customer’s information. Do not misrepresent AI-generated content or use it in ways that violate applicable law or another person’s rights.
10. Software and work product
Aimora and its licensors retain rights in the underlying software, tools, templates, methods, branding, and documentation. During your agreed service term, you receive a limited right to use the service for your business within the agreed scope. Custom deliverable ownership and any source-code transfer must be addressed in your Service Order.
As between you and Aimora, you may use outputs produced for your business, subject to applicable law and third-party rights. AI outputs may not be unique or eligible for intellectual property protection; we do not guarantee exclusivity or clearance of third-party rights.
11. Availability, support, and suspension
Support coverage, response targets, usage limits, and any service-level commitments are those in your Service Order. Unless expressly agreed, the service has no guaranteed uninterrupted availability or round-the-clock human support. Maintenance, external outages, and integration changes may affect operation.
We may suspend only the access reasonably necessary to address unlawful use, a security threat, material breach, or overdue undisputed payment. Where practicable, we will explain the issue and allow a reasonable opportunity to resolve it; immediate suspension may be necessary to prevent harm or comply with law. Either party may terminate for a material breach that remains unresolved after written notice and a reasonable opportunity to cure.
When service ends, access and processing needed only for active service will end. Export assistance, return or deletion of Customer Data, legally required retention, backup handling, and any agreed transition fees will follow the documented data arrangements and applicable law. Arrange export of records you need before the service end date; no indefinite post-termination access is promised.
12. Warranties and limits of liability
Except for express commitments in your agreement and rights that cannot lawfully be excluded, the service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. This provision does not override an express service commitment.
To the extent permitted by applicable law, neither party is liable under the agreement for indirect or consequential losses, lost profits, or lost business opportunities. Each party’s total liability arising from the agreement is limited to the fees paid or payable for the affected service during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, breach of confidentiality or data protection obligations, infringement or misappropriation of the other party’s intellectual property, your obligation to pay agreed fees, or liability that cannot legally be limited. If applicable law does not allow a limitation, that limitation applies only to the extent the law permits.
13. Changes and disputes
We may update this page and its effective date. Posting an update does not retroactively change an accepted agreement. Material changes for an existing customer require notice and acceptance where required, or apply to a later renewal on the terms disclosed before that renewal. A fixed Service Order remains governed by its agreed terms unless both parties agree otherwise.
Contact us first about a dispute so the parties can try to resolve it in good faith. Any expressly agreed governing law or court location belongs in your Service Order. If none is agreed, applicable law determines those questions. These terms do not impose mandatory arbitration or a class-action waiver. Nothing prevents either party from seeking urgent relief or exercising nonwaivable rights.
If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision once does not waive later enforcement. Provisions that by their nature should survive termination, including accrued payment obligations, confidentiality, ownership, and applicable liability limits, survive.
